The Young African Leaders, Pioneers & Entrepreneurs (YALPAE) operates through a structured, youth-led governance framework designed to ensure accountability, continuity, ethical leadership, and responsible decision-making at every level.

Our governance model reflects a simple principle: authority exists to serve the mission.

  • Leadership within YALPAE is stewardship, not entitlement;

  • Every structure exists to protect and advance youth-led development, not individual ambition.

This approach is anchored in three core commitments:

  • Youth-Led, Not Youth-Branded — real decision-making authority rests with young people
  • Accountability Without Fear — leadership is held responsible through clear systems that protect dignity
  • Built for Continuity — governance is designed to outlast any one personality, term, or moment

Constitutional Foundation

YALPAE is governed by a formal Constitution, which establishes the organisation’s mandate, governance structures, leadership responsibilities, membership rules, and ethical standards.

The Constitution serves as the organisation’s highest governing authority, guiding all policies, programs, partnerships, and leadership decisions. Supporting governance instruments and annexes provide additional operational standards while remaining fully consistent with the Constitution.

Together, these instruments ensure that YALPAE functions as a structured institution rather than a personality-driven initiative.

Leadership Structure

YALPAE operates through three complementary layers of leadership, each designed to ensure clarity of responsibility, continuity of governance, and mission-aligned action.

Board of Directors

The Board of Directors is YALPAE’s supreme governing body and acts as the ultimate custodian of the organisation’s mission, legal integrity, and long-term direction.

Its responsibilities include:

  • Strategic direction and long-term vision
  • Governance oversight and institutional integrity
  • Approval of strategy, policy, and annual budgets
  • Appointment and oversight of the Executive Committee
  • Safeguarding compliance and risk management
  • Constitutional amendments and dissolution authority
  • Final authority on major partnerships, sponsorships, and high-value commitments
  • Ensuring adherence to the Constitution and organisational policies

The Board consists of a minimum of 5 and a maximum of 15 Directors. All Board members must be 30 years of age or younger at the time of appointment. Mandatory officers include the Chairperson, Vice-Chairperson, Secretary, and Treasurer, and up to two non-voting honorary advisors may be appointed where needed.

Board members serve a 5-year term, renewable once, with staggered terms to support continuity.


Executive Leadership

The Executive Committee and Officers are responsible for implementing the organisation’s strategic direction and ensuring continuity between Board meetings. The Executive Committee is an enabling structure, not a parallel authority.

Its responsibilities include:

  • Implementing Board-approved decisions
  • Operational oversight across portfolios
  • Coordination of committees and chapters
  • Program and initiative implementation
  • Operational management and reporting
  • Ensuring compliance with governance and safeguarding standards

The Executive Committee reports formally to the Board at least quarterly and operates only within clearly defined mandates. It cannot amend policy, approve budgets, or bind YALPAE to long-term commitments without express Board authorisation.

Executive Committee members serve a 3-year term, renewable once, and must meet the same age requirement as the Board.


Portfolios, Committees and Working Structures

YALPAE’s mission is carried forward through portfolio directors, committees, and working structures aligned to its strategic focus areas. These structures allow governance and delivery to work together rather than apart.

Portfolio leadership ensures responsibility is distributed across the organisation’s major areas of work, including governance, safeguarding, education, enterprise, civic engagement, climate action, arts and culture, research, chapters, mentorship, and communications.

All Portfolio Directors submit KPI reports to the Board twice per year and a full narrative report at the AGM, helping to ensure performance, accountability, and continuity.


Chapters and Local Representation

YALPAE may establish local or regional chapters to extend its programs and initiatives and deepen youth engagement on the ground.

Chapters support the organisation’s mission by:

  • Promoting youth leadership and participation at local level
  • Implementing programs and community initiatives
  • Supporting outreach, collaboration, and volunteer engagement

Chapters operate under delegated authority and do not have independent legal status. They remain accountable to the organisation’s central leadership and must comply with all national governance standards and policies.

A founding chapter must include at least one voting member with a minimum of six months’ membership, and each chapter is required to submit bi-annual reports covering activities, finances, challenges, and volunteer engagement. Chapters that fail to comply with organisational standards may be suspended or dissolved by the Board.

Board Portfolios

YALPAE’s Board is structured around programmatic and governance portfolios so that leadership responsibility remains closely aligned with delivery.

These portfolios include:

  • Chairperson — strategic leadership, external representation, Board meetings
  • Vice-Chairperson — committee oversight, governance integrity, special initiatives
  • Board Secretary — records, compliance, governance administration
  • Treasurer — financial oversight, budgets, fundraising reporting
  • Director of Youth Wellness & Protection — safeguarding, wellness policies and programs
  • Director of Arts, Culture & Media — youth arts, media visibility, cultural programming
  • Director of Climate Action, Green & Agricultural Development — sustainability, environmental and agricultural initiatives
  • Director of Entrepreneurship & Economic Inclusion — youth enterprise and economic support programs
  • Director of Civic Engagement & Leadership — civic participation and policy engagement
  • Director of Education & Skills Training — education, training, and capacity-building
  • Director of Innovations & Research — research, innovation, and technology-driven work
  • Director of Chapters, Volunteers & Mentorship — regional chapters, volunteers, and mentorship systems
  • Director of Marketing & Public Relations — public image, branding, and communications

This structure helps ensure that leadership remains practical, accountable, and closely connected to YALPAE’s objectives.

Founding Members

Founding Members are those who established YALPAE and adopted its Constitution. They do not hold routine governance, fiduciary, or operational authority and are not part of the Board by default.

Their role is advisory and custodial: to safeguard YALPAE’s founding mission, vision, and continuity when they are no longer eligible to serve in regular youth leadership roles.

Founding Members may intervene only in exceptional circumstances, including:

  • Persistent failure of senior leadership materially affecting the organisation
  • Approved KPIs falling below 50% for two consecutive reporting periods
  • An organisational emergency threatening YALPAE’s ability to operate
  • Serious internal conflict where established governance or dispute mechanisms have failed

Any intervention is strictly limited to three months and exists solely to restore governance functionality and continuity. Once stability is restored, all emergency powers automatically lapse.

Committees and Working Groups

YALPAE establishes committees and working groups to support specialised areas of the organisation’s work, including governance, finance, programs, partnerships, safeguarding, and organisational development.

Standing Committees may be created for ongoing functions, while Ad Hoc Committees may be formed for specific, time-bound purposes.

All committees:

  • Operate under Board-approved Terms of Reference
  • Are advisory unless expressly granted decision-making authority
  • Report through a designated Chair
  • Remain bound by the Constitution, Code of Conduct, and safeguarding obligations

The Finance Committee supports financial oversight and may include the Treasurer, Assistant Treasurer, Chairperson, Vice-Chairperson, Board Secretary, and an optional independent advisor or auditor.

Ethical Leadership & Accountability

YALPAE maintains a strong culture of ethical leadership and accountability across all levels of the organisation.

All members, leaders, and representatives are bound by the organisation’s Code of Conduct & Ethics, which establishes clear standards for responsible behaviour, respect, transparency, and integrity.

In addition, individuals in leadership positions are bound by the Leadership Ethics Addendum, which holds them to an enhanced standard of conduct. This includes:

  • Stewardship over entitlement — authority must be exercised for the mission, not personal gain
  • Fiduciary duties — care, loyalty, and good faith are owed to YALPAE at all times
  • Conflict of interest disclosure — all actual, potential, or perceived conflicts must be declared and managed
  • Collective decision-making — leaders are expected to support lawfully taken decisions, even where disagreement existed
  • Protection of organisational independence — leaders must resist improper influence from partners, donors, or external actors
  • Whistleblower protection — good-faith reporting of concerns must not result in retaliation
  • Consequences for breach — ethical violations may lead to suspension, removal from office, or other corrective action following due process

Leadership authority within YALPAE is therefore treated as a responsibility of service rather than a position of entitlement. All leaders formally acknowledge these obligations upon appointment.

Safeguarding in Governance

Safeguarding is not treated as a separate program. It is a governance obligation embedded into the structure of the organisation itself.

Every layer of YALPAE’s governance carries a non-delegable duty of care toward children and vulnerable persons. This means safeguarding responsibilities cannot be ignored, transferred away, or set aside for convenience.

Key safeguarding principles built into governance include:

  • Safeguarding obligations override all other internal considerations
  • No committee, officer, or partner may proceed with child-facing activities without written safeguarding clearance
  • The Director of Youth Wellness & Protection carries dedicated Board-level accountability for safeguarding compliance
  • All partners and sponsors are bound by YALPAE’s Child Protection & Safeguarding Framework as a condition of collaboration

This ensures that youth protection remains central to leadership, program delivery, and partnerships.

Partnership Governance

YALPAE collaborates with organisations, institutions, and individuals who share its commitment to youth empowerment, African development, ethical practice, and responsible leadership.

All partnerships and sponsorships are governed by formal procedures that ensure:

  • Alignment with the organisation’s mission and values
  • Protection of institutional independence
  • Compliance with safeguarding and ethical standards
  • Transparency and accountability in collaboration

Major partnerships require formal approval and remain subject to governance oversight, helping protect the organisation from reputational, ethical, or operational risk.

Transparency and Responsible Governance

YALPAE is committed to maintaining high standards of organisational governance in both principle and practice.

Its governance framework includes:

  • Ethical codes and leadership standards
  • Safeguarding and child protection policies
  • Partnership governance procedures
  • Disciplinary, reporting, and accountability mechanisms
  • Structured roles, terms, and performance expectations

These systems ensure that the organisation operates responsibly while maintaining the trust of members, partners, and communities.

YALPAE’s governance model is designed not only to guide leadership, but to ensure that leadership remains disciplined, ethical, youth-led, and accountable to the mission it exists to serve.
